Terms of Service

1. Agreement to Terms

By accessing or using PropFlow Pro ("Service"), you agree to these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Customer") and PropFlow Pro FZCO ("PropFlow Pro"), a company registered in the Dubai International Financial Centre (DIFC), UAE. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

2. Subscription and Access

2.1 Plans: PropFlow Pro offers Basic ($99/user/month), Professional ($149/user/month), and Enterprise ($199/user/month) subscription plans as described on our pricing page. All prices exclude applicable VAT.

2.2 Users: A "user" is any named individual with a login credential. Tenant portal users and owner portal users are not counted as subscription users. Additional users beyond the included allowance are billed at the applicable tier rate.

2.3 Trials: Trial periods are offered per the tier described at propflowpro.com/pricing. Trial accounts are subject to data volume limits. Credit card information provided for Professional and Enterprise trials will not be charged unless you convert to a paid subscription.

2.4 Billing: Monthly plans are billed on the subscription anniversary date. Annual plans are billed upfront. All invoices are due upon issuance. Late payment may result in service suspension after 15 days' notice.

3. Acceptable Use

You may use PropFlow Pro only for lawful property management business purposes. You may not: (a) reverse engineer or attempt to extract the source code; (b) share login credentials between multiple individuals; (c) use the Service to store or transmit illegal content; (d) exceed usage limits by technical circumvention; or (e) resell or white-label the Service without a written reseller agreement.

4. Data Ownership & Portability

You own all data you input into PropFlow Pro ("Customer Data"). PropFlow Pro processes Customer Data solely to provide the Service. You may export your Customer Data at any time in standard formats (CSV/Excel/PDF). Upon termination, we will make your data available for export for 30 days before deletion. PropFlow Pro does not sell Customer Data to third parties.

5. Service Level Agreement (SLA)

Basic: No formal SLA. Target 99% uptime, best effort.

Professional: 99.5% monthly uptime SLA. Downtime credits: 10% of monthly fee per hour of excess downtime, capped at 30% of monthly fee.

Enterprise: 99.9% monthly uptime SLA (contractual). Credits and remedies per individual Enterprise Agreement.

Scheduled maintenance windows (notified 48 hours in advance) do not count toward downtime. Force majeure events, including government actions, are excluded.

6. Compliance Features

PropFlow Pro provides tools to assist with GCC regulatory compliance (Ejari, Mollak, RERA, VAT). We do not provide legal or tax advice. Customers remain responsible for their compliance obligations. PropFlow Pro's compliance features are provided on a best-efforts basis and may require customer configuration to function correctly for specific regulatory scenarios.

7. Intellectual Property

PropFlow Pro owns all intellectual property rights in the Service, including software, designs, trademarks, and documentation. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription. We retain all rights not expressly granted.

8. Limitation of Liability

To the maximum extent permitted by law, PropFlow Pro's total aggregate liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption.

9. Termination

Either party may terminate monthly subscriptions with 30 days' written notice. Annual subscriptions terminate at the end of the contracted term unless renewed. PropFlow Pro may suspend or terminate for material breach (including non-payment) with appropriate notice as described in Section 2.4. You may terminate immediately if PropFlow Pro materially breaches a Professional or Enterprise SLA.

10. Price Changes

Annual and multi-year contracts are price-protected for the contracted term. Month-to-month subscriptions may be subject to price increases of up to 5% per year with 60 days' written notice. Annual plan renewals may reflect revised pricing with 90 days' notice.

11. Governing Law

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC). Any disputes shall be subject to the exclusive jurisdiction of the DIFC Courts. Notwithstanding the foregoing, PropFlow Pro may seek injunctive relief in any competent court.
